This Mutual Non-Disclosure Agreement ("Agreement") is entered into on [DATE] by and between [COMPANY A] and [COMPANY B].

1. Confidential Information. For purposes of this Agreement, "Confidential Information" means any and all non-public information, including without limitation, technical data, trade secrets, know-how, research, product plans, products, services, customers, customer lists, markets, software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, finances, or other business information disclosed by either party.

2. Obligations. The receiving party agrees to:

(a) Hold and maintain in confidence all Confidential Information;

(b) Not disclose Confidential Information to third parties;

(c) Use Confidential Information solely for the purpose of evaluating potential business opportunities.

3. Term. This Agreement shall remain in effect for a period of ten (10) years from the date hereof.
